Terms of Service

These Terms of Service (“Terms”) govern the use of the AtomAds7 advertising network and the website atomads7.com, operated by ADS ATOM LTD, a company registered in Northern Ireland, United Kingdom (“AtomAds7”, “we”, “us”). By applying for a publisher or advertiser account, or by using our services, you agree to these Terms.

1. Definitions

• Publisher — an owner or operator of a website approved to display advertisements served by AtomAds7.
• Advertiser — a person or company purchasing advertising placements through AtomAds7.
• Network — the AtomAds7 ad-serving platform, tags, dashboard and related services.

2. Accounts and eligibility

You must be at least 18 years old and authorised to act on behalf of the business you represent. All applications are subject to review and approval at our sole discretion. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. Publisher terms

• Publishers may only place AtomAds7 tags on websites approved by us and must not modify the tags.
• Publishers must not generate impressions or clicks through automated means, incentivised traffic, click farms, or any other fraudulent or artificial method.
• Websites must not contain adult, illegal, pirated, hateful, deceptive or malware-distributing content.
• Revenue is calculated based on AtomAds7's measurement of valid impressions, clicks or actions. Invalid traffic identified by our systems is excluded from payment.
• Payments are made NET 30 once the minimum payout threshold is reached, by the method selected in the dashboard. Publishers are responsible for any taxes applicable to their earnings.

4. Advertiser terms

• Advertisers are solely responsible for the content of their creatives and landing pages and warrant that they comply with all applicable laws, regulations and industry standards.
• Creatives may not contain malware, deceptive claims, auto-redirects, or content prohibited by our creative policy.
• We reserve the right to reject or pause any campaign or creative at any time.
• Campaign fees are payable in advance or, for approved accounts, on NET 30 invoice terms. Unpaid invoices may accrue interest at the statutory rate.
• Reporting provided by AtomAds7 is the basis for billing. Discrepancies of less than 10% versus third-party ad servers are not grounds for adjustment.

5. Prohibited activities

You must not: reverse-engineer or interfere with the Network; use the Network to distribute malware or conduct phishing; misrepresent your identity or traffic sources; or circumvent any security or fraud-prevention measure.

6. Intellectual property

The Network, tags, dashboard, documentation and branding remain the property of ADS ATOM LTD. Advertisers retain ownership of their creatives and grant us a licence to display them through the Network for the duration of a campaign.

7. Termination

Either party may terminate the relationship at any time with written notice. We may suspend or terminate accounts immediately for breach of these Terms, suspected fraud or legal risk. Earnings from invalid activity are forfeited. Valid earnings accrued before termination are paid according to the normal schedule.

8. Disclaimer and limitation of liability

The Network is provided “as is”. We do not guarantee any particular level of revenue, fill rate, traffic or campaign performance. To the fullest extent permitted by law, ADS ATOM LTD's total liability arising from these Terms shall not exceed the amounts paid or payable by or to you in the three months preceding the claim. We are not liable for indirect, consequential or lost-profit damages.

9. Data protection

Each party shall comply with applicable data-protection law. Our processing of personal data is described in the Privacy Policy. Publishers are responsible for obtaining any legally required consent from their visitors.

10. Governing law

These Terms are governed by the laws of Northern Ireland. The courts of Northern Ireland have exclusive jurisdiction over any dispute arising from them.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via the dashboard or e-mail. Continued use of the Network after changes take effect constitutes acceptance.
